NetAudioAds Standard Agent Terms and Conditions This agreement is made by and between V2P Communications, Inc, a Nevada Corporation (“Company”), and the above identified sales Agent hereinafter referred to as “Agent”. - Agent agrees to market, promote and sell NetAudioAds™ (“NAA”) 5 second audio adlets (“Adlet”) to advertisers on behalf of Company. Advertisers will be required to record their own ad via telephone or to provide their advertisement in .WAV or .MP3 format via upload at the time of order. - Agent agrees to include their NetAudioAds™ member number in all solicitations, advertisements, promotional material and other written or electronic media placed in accordance to this agreement. - Agent agrees not to use any form of spam or unsolicited email, off topic blog comments or other commonly objectionable methods in promoting NetAudioAds™ or any other product of the Company. - Agent agrees not to discount or surcharge advertising on the NetAudioAds™ system to any advertiser, large or small, without the express written approval of the management of the Company. Current Agent and resale rates will be posted on the Company website at all times. - Agent agrees not to enter into any agreements with national advertisers, national ad agencies or BPA Worldwide members without the express written permission and prior consultation with V2P Communications, Inc. - Company agrees that commissions will be paid on a weekly basis, on Friday, for advertising published and paid for prior to the Saturday midnight immediately preceding. - Agents based in the US must maintain a current IRS form W9 on file with the Company or we will stop the entire Agent's advertising when the commissions due or paid to the Agent total in excess of 5 in any calendar year. - Company will pay, and Agent agrees to accept, as commission in full, the difference between the sale amount of advertising sold and the Company published agency rate in effect at the time that the advertising order is placed, regardless of when the actual advertising is published. - Agent agrees that their account with NAA and V2P may be canceled without notice for any violation of or default in these terms at the Companies sole discretion. - Company and Agent agree that all disagreements are to be handled according to Nevada law.
